Welcome to Progrezzo ("Progrezzo," "we," "us," or "our"). By accessing or using our website, applications, or services (collectively, the "Service"), you agree to be bound by these Terms of Service (these "Terms"). If you do not agree to these Terms, do not use the Service.
Overview
Progrezzo provides a passwordless software-as-a-service platform where users log in via email to create and manage content. By using the Service, you represent that you are at least 18 years old and capable of entering into a binding agreement.
Account & Security
You create an account by entering your email address.
A secure, time-limited login token will be sent to your email (no password required).
You are responsible for maintaining access to, and the security of, your email account.
If you lose access to your email, we may be unable to recover your account.
You must promptly notify us of any suspected unauthorized access or security incident.
User Content & License
You own your content. All content you create, upload, or store through the Service ("User Content") remains yours.
Limited license to us. You grant Progrezzo a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and back up your User Content solely to provide, maintain, secure, and improve the Service.
Your responsibilities. You are responsible for your User Content and for ensuring you have all necessary rights to upload and use it with the Service.
Acceptable Use
You agree that you will not:
- Use the Service for any unlawful purpose or in violation of applicable laws or regulations;
- Interfere with or disrupt the integrity or performance of the Service;
- Attempt to gain unauthorized access to the Service or related systems;
- Upload malicious code, or engage in activity that harms other users or our systems;
- Misrepresent your identity or affiliation.
Third-Party Services
The Service may depend on, or interoperate with, third-party services, sites, and tools (e.g., authentication providers, hosting, analytics, payment processors). Your use of such third-party services may be subject to their separate terms and privacy policies. We are not responsible for third-party services.
Payments, Billing & Taxes
Merchant of Record. Payments are securely handled by Paddle (our Merchant of Record). Paddle may collect and process necessary billing details on our behalf.
Prices. Prices are shown in supported currencies and may change from time to time. If pricing changes for subscriptions, we will provide prior notice where required.
Taxes. Applicable taxes (including VAT/GST) are determined and collected by Paddle.
Auto-Renewing Subscriptions. If you purchase a subscription, it will auto-renew at the end of each billing period unless you cancel before renewal. You can manage or cancel via the link in your Paddle receipt or through your account settings where available.
Refunds & Cancellations
Standard window. You may request a refund within 14 calendar days of purchase. After this period, refunds are generally unavailable except where required by law.
Who processes refunds. If a refund is approved, Paddle will process the refund to the original payment method. Use the “View Order/Receipt” link in your Paddle email to request a refund, or contact our support and we will coordinate with Paddle.
Digital content & immediate access (EU/UK). For EU/UK consumers: you typically have a 14-day right of withdrawal for distance purchases. If you choose immediate access to digital content and give explicit consent acknowledging you will lose your withdrawal right, that statutory right may not apply. We will still consider requests under the 14-day policy above.
Refund timing. Once approved by Paddle, card refunds typically arrive within 3–5 business days and PayPal within approximately 48 hours (your provider may vary).
Chargebacks. Cardholders may have dispute rights with their payment provider. Please contact us first so we can help resolve issues quickly.
Note: The previous "all sales are final" language is replaced by this section.
Availability, Changes & Support
We may modify, suspend, or discontinue the Service (or any part of it) at any time. We will use reasonable efforts to provide notice of major changes.
The Service may be unavailable from time to time for maintenance or due to outages. We are not liable for interruptions, downtime, or data loss.
Optional beta/experimental features may be offered "as is" and can be changed or discontinued at any time.
Intellectual Property
The Service, including our software, interfaces, designs, and branding, is owned by Progrezzo and its licensors and is protected by intellectual property laws.
These Terms do not grant you any rights to our trademarks or other IP except for the limited rights necessary to use the Service in accordance with these Terms.
Feedback
If you provide suggestions, ideas, or feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free license to use it without restriction or compensation.
Privacy
Please review our Privacy Policy to understand how we collect, use, and share information about you. By using the Service, you consent to our data practices as described there.
Security
We implement reasonable administrative, technical, and organizational measures designed to protect your information. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
Termination
You may stop using the Service at any time and may request account deletion where available.
We may suspend or terminate your access to the Service immediately for any violation of these Terms, for suspected fraudulent or unlawful activity, or to comply with law.
Upon termination, your right to use the Service will cease, but certain provisions will survive (including, without limitation, Sections 3, 9–17).
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROGREZZO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) FOR THE SERVICE DURING THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You will indemnify and hold harmless Progrezzo and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or connected with your User Content, your use of the Service, or your violation of these Terms or applicable law.
Governing Law & Venue
These Terms are governed by the laws of the Republic of Serbia, without regard to conflict-of-law rules.
Business users (B2B). If you are using the Service on behalf of a business, you agree to the exclusive jurisdiction and venue of the competent courts in Belgrade, Serbia for all disputes arising out of or relating to these Terms or the Service.
Consumers (B2C). If you are a consumer, you may bring claims in the courts that have jurisdiction under mandatory consumer-protection law applicable to you (including, where applicable, the courts of your habitual residence). Nothing in these Terms limits your non-waivable consumer rights.
International users. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Nothing in these Terms is intended to limit any mandatory consumer rights under applicable law, including statutory withdrawal/cooling-off rights where applicable. Where there is a conflict between these Terms and mandatory law, mandatory law prevails.
Export & Sanctions
You may not use, export, or re-export the Service except as authorized by United States law and the laws of the jurisdiction(s) in which the Service was obtained. You represent that you are not located in, and will not use the Service in, any embargoed country or on any U.S. government list of prohibited or restricted parties.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If a change materially affects your rights or obligations, we will provide notice as required by law. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
